Indemnification

Customer will defend Tada against any claim made or brought against Tada by a third party (a “Claim”) arising out of Customer’s use of the Tada Service and will indemnify Tada for any damages finally awarded against, and for reasonable attorney’s fees incurred by, Tada in connection with any such Claim; provided that (a) Tada will promptly notify Customer of such Claim, (b) Customer will have the sole and exclusive authority to defend and/or settle any such Claim (provided that Customer may not settle any Claim without Tada’s prior written consent, which will not be unreasonably withheld, unless it unconditionally releases Tada of all liability) and (c) Tada reasonably cooperates with Customer in connection therewith.

Limitation of liability

UNDER NO CIRCUMSTANCES AND UNDER NO LEGAL THEORY, WHETHER IN TORT, CONTRACT OR OTHERWISE, WILL TADA BE LIABLE TO CUSTOMER FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES OF ANY CHARACTER, INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF GOODWILL, LOST PROFITS, LOST SALES OR BUSINESS, WORK STOPPAGE, COMPUTER FAILURE OR MALFUNCTION, LOST DATA OR FOR ANY AND ALL OTHER DAMAGES OR LOSSES, EVEN IF A TADA HAS BEEN ADVISED, KNEW OR SHOULD HAVE KNOWN OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT WILL TADA BE LIABLE FOR ANY DIRECT DAMAGES, COSTS OR LIABILITIES IN EXCESS OF THE AMOUNTS PAID OR PAYABLE BY CUSTOMER DURING THE TWELVE MONTHS PRECEDING THE INCIDENT OR CLAIM. THE PROVISIONS OF THIS SECTION ALLOCATE THE RISKS UNDER THIS AGREEMENT BETWEEN THE PARTIES, AND THE PARTIES HAVE RELIED ON THE LIMITATIONS SET FORTH HEREIN IN DETERMINING WHETHER TO ENTER INTO THIS AGREEMENT.

Restrictions on use

As a condition of your use of and access to the Tada Service, you agree to comply with any application-, tool-, or content-specific rules published within the Tada Service as well as the following usage rules, which Tada may modify or supplement in its discretion from time to time. You agree that you will not, in regard to the Tada Service (as determined by Tada in its discretion):

(a) copy, adapt, reverse engineer, decompile, reverse assemble, modify or attempt to discover any software (source code or object code) that the Tada Service creates to generate web pages or any software or other products or processes accessible through the Tada Service;

(b) access or use the Tada Service in a way that uses technology or other means to access, index, re-render, frame, mirror, truncate, add to, inject, filter or link to the Tada Service that is not authorized by us (including by removing, disabling, bypassing, or circumventing any content protection or access control mechanisms intended to prevent the unauthorized use, download, linking, framing, reproduction, access to, or distribution of the Tada Service);

(c) use any deep-link, page-scrape, robot, crawl, index, spider, offline reader, click spam, macro programs, internet agent, or other automatic device, program, algorithm or methodology which does the same things, to use, access, copy, index, acquire information, generate impressions or clicks, input information, store information, search, generate searches, or monitor any portion of the Tada Service for any unauthorized purpose or distribute any virus, time bomb, trap door, Trojan horse, worm, malware, ransomware or other harmful, malicious or disruptive computer code, mechanism, software, script, agent or program;

(d) remove, modify, disable, block, obscure or otherwise impair any notice, legend, warning, banner or advertisement contained on the Tada Service;

(e) interfere with or circumvent any security feature of the Tada Service or any feature that restricts or enforces limitations on use of or access to the Tada Service;

(f) sell the Tada Service or any part thereof in exchange for real currency or items of value;

(g) use the Tada Service for timesharing or service-bureau purposes or otherwise for the benefit of a third party;

(h) use the Tada Service in a manner that damages, disables, overburdens, impairs, or gains unauthorized access to the Tada Service, including Tada’s servers, computer network, or user accounts;

(i) violate any applicable law in your jurisdiction or the jurisdiction in which the message is received, including without limitation any applicable export laws, or third-party rights (including third party terms of service);

(j) harvest or otherwise collect information about others, including email addresses or phone numbers, without their permission or under false pretenses;     

(k) use the Tada Service in connection with unsolicited, unwanted, or harassing communications (commercial or otherwise), including, but not limited to, phone calls, SMS or MMS messages, chat, voicemail, video, email, or faxes;

(l) use the Tada Service to record or monitor a phone call or other communication without securing consent from the participants to the phone call or other communication as required under applicable law (including, as applicable, California’s Invasion of Privacy Act and similar laws in other jurisdictions);

(m) use the Tada Service for hosting, transmitting or making available content (for example, images and documents) that infringe or violate the rights of any other party, including without limitation any intellectual property rights or rights of privacy or publicity;

(n) engage in conduct that is obscene, offensive, pornographic, fraudulent, deceptive, defamatory, threatening, harassing, abusive, slanderous, hateful, or causes embarrassment to any other person;

(o) repeatedly upload and remove unique email addresses or otherwise try to manipulate data in an attempt to circumvent Tada’s applicable fees or other billing procedures;

(p) set up multiple accounts for any individual or organization in order to send substantially similar content unless you are part of a franchise;

(q) further any chain letters or pyramid schemes, transmit unsolicited messages, or engage in “spam;”

(r) deliberately mislead anyone as to your identity, impersonate another, forge an email address or header, or phone number or otherwise attempt to mislead others as to the identity of the sender or the origin of a message, email or phone call, or falsely identify the source of any submissions, or allow another person or entity to use your identity in order to access the Tada Service or post or view submissions;

(s) copy, display, distribute, download, license, modify, publish, re-post, reproduce, reuse, sell, transmit, use to create a derivative work, or otherwise use the content of the Tada Service for public or commercial purposes without our express written permission;

(t) engage in conduct that conflicts with the spirit or intent of the Tada Service, including without limitation, by disrupting the flow of dialogue in a Public Area (as defined in the Tada Privacy Policy), restricting any other user from using or enjoying the Service, or exposing Tada or another to any liability or detriment of any kind;           

(u) use the Tada Service in any manner that causes a telecommunications provider to complain about such use to Tada or its service providers or materially violates the following: (a) industry standards, policies and applicable guidelines published by (i) the CTIA (Cellular Telecommunications Industry Association), (ii) the Mobile Marketing Association, or (iii) any other generally recognized industry associations; (b) telecommunications provider guidelines and usage requirements as communicated in writing by Tada to you;

(v) include any incentives (for example, coupons, discounts or awards) in any messages you send by means of the Tada Service that encourage a recipient to forward the message to another recipient, other than as expressly permitted within the Tada Service; or

(w) for the avoidance of doubt and without limitation of any other provision contained herein, use the Tada Service in a way that violates generally recognized industry guidelines, including, without limitation, (a) using non-permission based email lists (i.e., lists in which each recipient has not explicitly granted permission to receive emails from a customer by affirmatively opting-in to receive those emails); (b) using purchased or rented email lists; (c) using third-party email addresses, domain names, or mail servers without proper permission; (d) sending emails to non-specific addresses (e.g., [email protected] or [email protected]); (e) sending emails that result in an unacceptable number of spam or unsolicited commercial email complaints (even if the emails themselves are not actually spam or unsolicited commercial email); (f) failing to include a working “unsubscribe” link in each email that allows the recipient to remove themselves from a your mailing list; (g) failing to comply with any request from a recipient to be removed from your mailing list within 10 days of receipt of the request; (h) failing to include in each email a link to the then-current privacy policy applicable to that email; (i) disguising the origin or subject matter of any email or falsifying or manipulating the originating email address, subject line, headers, or transmission path information for any email; (j) failing to include in each email your valid physical mailing address or a link to that information; and (k) including “junk mail,” “chain letters,” “pyramid schemes,” incentives (e.g., coupons, discounts, awards, or other incentives) or other material in any email that encourages a recipient to forward the email to another recipient.

Although most changes are likely to be minor, Tada may change its Privacy Policy from time to time, and in Tada’s sole discretion. Tada encourages visitors to frequently check this page for any changes to its Privacy Policy. Your continued use of this site after any change in this Privacy Policy will constitute your acceptance of such change.

Privacy & Data Protection Agreement

Introduction:

This agreement outlines the policies and practices regarding the collection, use, and disclosure of personal information by Tada, a provider of a Shopify App. By using our App, you consent to the collection, use, and disclosure of your personal information as described in this agreement.

Scope of Agreement:

This agreement applies to all personal information that we collect through our App. Personal information is any information that can be used to identify an individual, including, but not limited to, name, address, telephone number, email address, and financial information.

Collection of Personal Information:

We collect only the personal information that is necessary to provide our App and related services to you. This information may include, but is not limited to, your name, address, email address, and financial information. We may also collect information about your use of our App and the transactions you conduct through the use of our App. 

Use of Personal Information:

We use your personal information to provide our App and related services to you, to process transactions, and to improve our App. We may also use your personal information to communicate with you about your use of our App and to provide you with information about our products and services. Specifically we use the Shopify Customer API to add new “Customer” information that you collect from your visitors using Tada. We also use the Shopify Custumer API to search customers by their emails in order to write new collected information on your behalf.  We also use the Shopify Order API to show you an analytics view of the sales you have generated with Tada.

Disclosure of Personal Information:

We do not sell, rent, or otherwise disclose your personal information to third parties for their marketing purposes. We may disclose your personal information to third parties as necessary to provide our App and related services to you, to process transactions, and to comply with legal requirements.

Data Security:

We take reasonable steps to protect your personal information from unauthorized access, use, or disclosure. However, no security measures are perfect or impenetrable. We cannot guarantee the security of your personal information, and you provide your personal information at your own risk.

Changes to Agreement:

We may modify this agreement from time to time. If we make material changes to this agreement, we will provide notice to you through our App or by email. Your continued use of our App after the effective date of any changes to this agreement constitutes your acceptance of the new terms.

Data Loss Prevention Strategy

  1. Technical controls: We’ve implemented encryption for all data in transit and at rest. We are using a secure protocols, such as HTTPS, to protect data from being intercepted or tampered with during transmission.
  2. We have implemented a strict access controls to restrict who has access to customer and order data. This includes regularly reviewing and revoking access for employees who no longer need it.
  3. We’ve developed and implemented data handling standards that outline how customer and order data should be collected, stored, and processed. This includes guidelines for how long data should be retained, when it should be deleted, and how it should be backed up.
  4. We regularly run internal audits around our data collection, storage, and processing to ensure that the app is adhering to the established data loss prevention strategy.
  5. We’ve developed an incident response procedures to follow in case of data breaches, to minimize the damage and to take the necessary steps to prevent future breaches.
  6. We regularly back up encrypted customer data to ensure that it can be recovered in case of data loss. This includes daily backups.
  7. We’ve implemented monitoring systems to detect and alert on suspicious activity, such as unauthorized access attempts or data exfiltration. This includes using prevention systems, as well as monitoring network traffic for abnormal patterns.
  8. We provide regular training to employees on data protection best practices, as well as the data loss prevention strategy. This includes training on how to identify and report suspicious activity, as well as training on the technical controls and policies in place to protect data.
  9. We wvaluate and monitor third-party vendors that have access to customer data, such as cloud providers or analytics platforms. We ensure that these vendors have appropriate data protection measures in place and that they are compliant with relevant regulations.
  10.  We’ve developed a data classification system to identify the level of sensitivity of different types of data and apply appropriate security controls. For example, customer names and email addresses would be considered less sensitive than birthdates and phone numbers.
  11. We’ve implemented a data governance policies and procedures to ensure that data is collected, stored, and processed in accordance with legal, regulatory, and business requirements. This includes establishing a data governance role responsible for monitoring data protection practices, and ensuring data quality and integrity.
  12. We’ve implemented a data minimization practice to ensure that only necessary data is collected and stored. This includes implementing data retention policies that outline how long data should be retained and when it should be deleted.
  13.  We’ve implemented logging and auditing systems to track and record user access to customer and order data. This includes recording user access to data, as well as tracking changes made to data. This information is regularly reviewed to detect and prevent data breaches or suspicious activity.
